Terms and Conditions

By signing up and booking a dinner through our service, Diners and Chefs accept the terms and conditions set out below by eho chef, and this will establish a contractual relationship between eho chef and the Diner, and eho chef and the Chef.

1. DEFINITIONS

"Booking Services" means the services set out in paragraph 3, which will be provided to the User of this service with eho chef acting as the intermediary between the Chef and the User.
"Chef" means the provider to the “Diner" of cooking services, and who is licensed to carry out the cooking services in accordance with the Cooking Regulations set out below.
"Cooking Services" means the services set out in paragraph 4, which will be provided to the Diner of the service through the Chef.
"eho chef" shall mean eho Limited, a private limited liability company incorporated and registered in England and Wales with company number 9965360, whose registered office is at Unit 3 Hyde Estate Road, London, NW9 6JX
"Website" shall mean www.ehochef.com

2. ACCEPTANCE OF BOOKINGS AS THE AGENT OF THE CHEF

As set out below, eho chef accepts bookings made by the Diner through the Website (“Requests”). eho chef accepts Offers to Requests as an intermediary between the Diner and the Chef. Such acceptance forms a contract between the Diner and the Chef (the "Cooking Contract") for the provision of Cooking Services to Diner by Chef. eho chef does not itself provide Cooking Services, is not a Chef, and is not part of the Cooking Contract. The Booking Services enables Diners on eho chef website to post a ‘Request’ to pre-book and schedule catering and cooking services with Chefs. Unless otherwise agreed by eho chef in a separate written agreement with the Diner, the Services are made available solely for the Diner personally and only for non-commercial use. The Diner acknowledges that eho chef does not provide catering and cooking services or functions as a chef and such catering and cooking services are provided by the Chef or third party providers who are not employed by eho chef or any of its affiliates. As eho chef acts as an intermediary between the Diner and the Chef, direct deals, agreements and arrangements made between the Diner and the Chef are not allowed. Therefore, only services provided through the Website are subject to these terms and conditions. In such cases where the Diner and Chef mkde direct deals, agreements and arrangements, those direct deals, agreements and arrangements are not covered by the insurance set out in paragraph 6 and eho chef is not responsible nor liable for any damages such direct deal, agreements and arrangements may cause.

3. BOOKING SERVICES AND CONDITIONS

eho chef provides certain services through the Website (the "Booking Services"). These include: • Platform to post ‘Request’; specifying location, date and time of dinner, number of guests, number of plates to be served, type of service, and preferred cuisine. • Platform for each registered Chef to create portfolio; including location, cuisines that can be cooked, menus, pictures. • The acceptance of a Booking must be in accordance with paragraph 2 above, but eho chef maintains the rights at its sole and absolute discretion to decline any Requests a Diner might post; • Keeping a record of each accepted Request; • Remotely monitoring performance of the Bookings by the Chef; • Displaying Diner reviews of Chef with stars under each Chefs account on the website to show a record of performance of their Cooking Services; • Receipt of and dealing with feedback, questions and complaints relating to Requests, which should be made by email to foodies@ehochef.com. It is recommended that the Diner provides feedback if any of the Cooking Services provided by the Chef do not meet the Diner's expectations; and • Dealing with queries relating to Bookings. Below are conditions also attached to the Cooking Services: • It is the Diner's responsibility to gain access to the website to use the Services unless there are problems otherwise caused by eho chef's own issues. Any charges arising during the access and use of the Bookings Services should be paid by the Diner. eho chef does not have any responsibility or liability if the access and use failed due to connectivity errors not caused by eho chef.

4. COOKING SERVICES AND CONDITIONS

Upon the acceptance of Cooking Services confirmed through the use of Booking Services stated above, Chefs provide certain services to the Diner. ("Cooking Services"). These include: • Responding to Diner questions promptly; • Preparing dishes, cutlery, cooking ware and any ingredients necessary to fulfil the Cooking Contract between Diner and Chef; • Research and ensure sufficient travelling time to avoid lateness to Request; • Making sure Diner can provide Chef facilities at the home or venue where the service is to take place (e.g. that Diner owns dishes, oven, and other equipment) in order to exercise and fulfil the Cooking Contract made between Diner and Chef; • Checking whether an assistant/s is required to exercise and fulfil the Cooking Contract made between Diner and Chef; • Reviewing and scoring Diner with stars as set by eho chef; • Making sure that the Chef complies with all necessary law/regulations such as food and hygiene, and health and safety. The conditions below are also attached to the Cooking Services: • In the event of not responding to the Diner promptly after Offer is accepted, eho chef may send alternative recommendations to Diner; • In the event of multiple occasions of not responding to Diners, Chef can be suspended from eho chef's website; • In the event that Chef is not able to execute Cooking Services as agreed to the Diner, immediate notification must be made both to eho chef and the Diner by the Chef.

5. PAYMENTS

Diner The use of website is provided by eho chef to the Diner free of charge. No payment or admin fee is required in order to secure the Cooking Contract between Diner and Chef. The rates that apply for the Cooking Services provided by Chef to Diner and any other detailed information about Cooking Services can be found on the website. Chefs can modify their account or Chef profile anytime. It is the Diner's responsibility to remain informed about the current status for the cooking services provided by each Chef. Diners can request any amendment to the their Request, including date, time and number of guests and this must be approved by Chef. However, Diners can only make changes to the date up to 120 hours before the dinner time. In the event of a cancellation, a full refund will be made if it is more than 120 hours before the dinner. If cancellation is 48 to 120 hours before dinner, 50% of the total price will be refunded. The full price will be charged for a cancellation made under 48 hours before the dinner. In cases of dissatisfaction with the Cooking Services provided to Diner by a Chef booked through the website, and subject to review and assessment of reasonability, eho chef will make a full refund to Diner. The Diner shall not, without the prior written consent of eho chef, solicit, entice away from eho chef or directly employ or attempt to directly employ any Chef who is, or has been, engaged as a sub-contractor of eho chef. Diners can close their Request at any time to stop new Offers from coming in.

Chef eho chef takes 20% (incl. VAT) of the Cooking Services fee as payment for the Booking Services provided to the Chef and for acting as an intermediary between Chef and Diner as set out in paragraph 2. Upon completion of delivering a Cooking Service and of such a notification being made by the Chef to eho chef, the payment less the above service charge, will be paid to the Chef by the agreed method as soon as Chef marks the ‘Request’ as completed. Payment can only be made into a UK bank account and identification may be requested (passport/driving licence). The transfer of these funds into the Chef's bank account can take up to seven working days. Payment processing services for Chefs on Website are provided by Stripe and are subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement"). By agreeing to these terms or continuing to operate as a Chef on Website, you agree to be bound by the Stripe Services Agreement, as the same may be modified by Stripe from time to time. As a condition of Website enabling payment processing services through Stripe, you agree to provide Website accurate and complete information about you and your business, and you authorise Website to share it and transaction information related to your use of the payment processing services provided by Stripe. In the event of a cancellation, 30% of the total price will be paid to the Chef if the cancellation is 48 to 120 hours before the event and the full commission (82% of the total price) will be paid if the cancellation is made under 48 hours before the event.

6. OTHER CONDITIONS

• Insurance and indemnity
All booked Cooking Services made through the website are covered by Product Liability and Public Liability insurance set by eho chef for maximum coverage of £5,000,000 with an excess of £500. Any undeclared change in circumstances, such as a change in the number of guests, a change of date, or a change in any details to any other Cooking Services agreed under the Cooking Contract may result in invalidating the insurance.
In the event of a Chef not arriving after a Cooking Contract is made, eho chef will endeavour to find alternative chef/chefs. Failing that, eho chef shall refund the full Cooking Service cost to the Diner.
• Training and coaching
eho chef will have an orientation session, health and safety, food and hygiene classes for Chefs from time to time. Attendance will be free of charge.
• Employment
Under no circumstances will eho chef engage in an employment contract with a Chef. Chefs may not act or behave as if employed by eho chef.
• Discount Codes
eho chef may offer discounts which will be provided either as a percentage or a specific sum of money. Conditions may be applied to discounts and are at the sole discretion of eho chef. These can be, but are not limited to, the following: expiry dates, repeat/single usage, minimum spend requirement, tithed to specific users. Discount codes have no cash value, cannot be refunded and cannot be used in conjunction with any other offer or promotion.
• Gift Vouchers
Gift vouchers with a unique code can be purchased online in denominations of £50 to be used by a single registered User. If the booking exceeds the value of the Gift Voucher, the balance should be paid on confirmation by card. If the booking is less than the value of the Gift Voucher, the balance will be held on Diner's account for a future transaction. There is no expiry date. Gift vouchers have no cash value and cannot be refunded.
• Diner Accounts
In order to use eho chef Booking Services, Diner must register and maintain an active user account ("Account"). Diner must be of legal age to use the Booking Services. The registration requires Diners to submit certain personal information, such as the Diner's first name, email address and password to eho chef. In order to complete Cooking Bookings, Diners will be required to provide more information, such as venue details, contact numbers and payment details. Diner must agree to maintain accurate, complete, and up-to-date information in the Diner Account. Failure to maintain accurate, complete, and up-to-date account information, including having an invalid or expired payment method on file, may result in the Diner being unable to access and use the Booking Services. In such a case, eho chef is entitled to terminate its agreement with Diner. Diners are responsible for all activity that occurs under the Diner Account, and Diners agree to maintain the security and secrecy of a Diner Account username and password at all times. Unless otherwise permitted by eho chef in writing, a Diner may only possess one account.
• Ownership
The services and all rights therein are and shall remain eho chef's property. These terms do not grant any rights to the Diner to use or refer to eho chef's company names, logos, product and service names, trademarks or service marks in any manner.

7. LIMITATION OF LIABILITY

To the extent that the law applies, eho chef will not be liable to the Diner or to the Chef in respect of any acts or omissions of eho chef's employees. Whether such liability arises in any form of content (breach of statutory duty, negligence and misrepresentation), these terms and conditions will limit or exclude eho chef's liability to the Diner and to the Chef for injury or death caused directly by eho chef's negligence. Diners must agree to indemnify and hold harmless from any and all claims, demands, losses, liabilities, and expenses arising out of or in connection with: (i) use of the services; (ii) breach or violation of any of these terms. We are registered for VAT and responsible only for our share of the total price, which is a 20% commission. Chefs are responsible for their own VAT affairs for the earnings made through eho chef.

8. APPLICABLE LAW

The Booking Services and the Booking Service Terms set out above are to be governed by, construed and take effect in accordance with the laws of England and Wales. Any dispute, claim or matter of difference arising out of or relating to the Booking Services or Booking Service Terms is subject to the exclusive jurisdiction of the courts of England and Wales.

9. AMENDMENT AND TERMINATION OF SERVICES

eho chef may terminate these terms or any services at any time for any reason. eho chef will provide Diner and Chef involved in such termination of services with 24 hours notification. However, eho chef reserves the right to terminate these terms or any services without notice if (i) The Diner is in breach of these terms, (ii) it is impractical to give such notice under the circumstances, or (iii) in eho chef's opinion, any delay in such termination would expose eho chef or a third party to significant risk of harm or damage. eho chef may amend the terms relating to the services from time to time. Amendments will be effective upon eho chef's posting of such updated terms. A Diner or Chef’s continued access or use of the services after such a posting constitutes the Diner or Chef’s consent to be bound by the terms, as amended.

10. DISCLAIMER

The Diner agrees that the entire risk arising out of use of the Booking Services remain solely with the Diner, to the maximum extent permitted under applicable law.
